We have been engaged to lead buy-side merger and acquisition planning and execution for a leading defense logistics and engineering solutions provider. In this capacity, we collaborate continuously with the client executive team as well as managers and experts across the organization to define the business’ acquisition strategy, and to identify and evaluate potential candidates. We then conduct due diligence, build financial projections and valuation models for qualified deals, articulate and socialize the deal rationale, and lead integration planning and execution for consummated deals.
M&A Planning & Execution – Homeland Security Technology
We conducted buy-side acquisition planning and research for one of the world’s leading homeland security technology businesses. We worked closely with the business’ executive team to define the acquisition objectives and criteria, to identify potential candidates, and to conduct detailed research and diligence on the target companies’ business attractiveness, financials, product markets, and technologies. This engagement resulted in a reprioritization of target candidates, an active deal pursuit, and a framework for filtering and evaluating additional candidates.
Pharma M&A Integration
Engaged by one of the world’s leading pharmaceutical firms to lead integration programs for several high profile acquisitions. Worked closely with client teams and the acquired firms to implement a portfolio of merger integration projects designed to maximize the realized value and minimize the risk of these acquisitions. These engagements enabled the client to maintain business continuity; secure intellectual property; transition personnel; integrate research, development and business systems and data; complete site closures across North America and Europe; and execute related divestitures. These engagements were highly acclaimed by client management and resulted in effective integration and significant costs savings compared to previous acquisition integration efforts.
Execution & Program Management – Process Reengineering & Solution Implementation
Engaged by executive management at a Fortune 250 company to lead a process reengineering, workflow automation, and reporting program for the review, approval, and tracking of international travel requests. The company had failed in three previous attempts to implement this complex program. With 10,000+ international trips per year, a large percentage going to high risk areas or war zones, international travel was a major risk area and business process challenge for the company. Achieved a consensus on the unified business process and system requirements amongst 30+ senior managers and subject matter experts across 20 business units and almost a dozen corporate departments. Led team that designed, developed, tested and deployed a system that streamlined and automated the process for creating, routing and approving all international travel requests; that reduces company risk by ensuring compliance with export, insurance and risk management regulations; and that enables real-time tracking of travel itineraries from a central reporting warehouse, so the company knows where travelers are at all times. The system resulted in significant cost savings and improved risk management for the company. At the conclusion of the project, the sponsor wrote: “We were a great success because we had walk-on-water types managing the program. I loved working with them.”
Execution & Program Management - Pharma Divestiture
Engaged by a leading pharmaceutical research and development corporation to support the divestiture of a major European subsidiary. This engagement involved the separation of intellectual properly, systems and databases between the two companies, as well as the design, development and deployment of a content management system for the divested entity to be used for all regulatory submission and non-submission documents. This engagement was delivered with resources in Europe and the U.S. on a highly accelerated schedule, and resulted in a successful divestiture and a highly satisfied client.
